Definitions

For the purposes of this Agreement, the following terms shall have the meanings assigned to them below. These definitions apply regardless of whether they are capitalized or not elsewhere in this Agreement.

  • “Kenaana”, “Kenaana Health”, “we”, “our”, or “us”: Refers to Kenaana Network LLC, a limited liability company operating under the trade name Kenaana Health, including its affiliates, administrators, employees, and authorized representatives.
  • “Platform”: Refers to the digital ecosystem of Kenaana, including its websites (Kenaana.com, Kenaana.net, and Kenaana.org), mobile applications, subdomains, backend systems, APIs, and all associated services or technologies, whether currently available or developed in the future.
  • “Agreement”: Refers to this Kenaana Services Agreement, including all incorporated policies and terms by reference, as may be updated from time to time.
  • “User”, “you”, or “your”: Refers to any person or entity that accesses, registers for, or uses the Platform, including individuals, companies, medical professionals, service providers, or job seekers.
  • “Member”: A User who has completed the registration process on the Platform and has access to member-exclusive features, such as posting content, applying for jobs, or managing a company profile.
  • “Visitor”: Any person who accesses the Platform without registering or logging in.
  • “Account Holder”: The individual or entity in whose name a Kenaana account is registered and who assumes responsibility for the account’s activity, content, and compliance with the Terms.
  • “Affiliate”: Any individual or user linked to an Account Holder who is authorized to use specific features under that account (e.g., company representatives or team members).
  • “Services”: All functionalities, tools, and features offered by Kenaana through the Platform, including (but not limited to) recruitment services, job postings, company directories, legal consulting, community forums, product displays, eLearning, and Expo365 listings.
  • “Paid Services”: Any service or feature on the Platform that requires payment, including but not limited to employer subscriptions, promoted content, Expo365 advertising, legal consultation bookings, or product listings.
  • “Content”: All materials posted, uploaded, submitted, or displayed on the Platform by any user, including (but not limited to) text, images, graphics, videos, files, logos, trademarks, descriptions, comments, and messages.
  • “Submission”: Any data or material submitted by users through forms, job applications, contact requests, consultation bookings, or content uploads.
  • “Third-Party Services”: Any tools, applications, payment processors, or integrations operated by third parties and made accessible through or alongside the Kenaana Platform.
  • “Subscription Plan”: A recurring billing arrangement for access to specific features or services provided by Kenaana under agreed terms and fees.
  • “Expo365”: A section of the Kenaana Platform dedicated to showcasing healthcare companies, products, and services, enabling visibility and business development within the healthcare sector.
  • “Terms”: Refers collectively to this Kenaana Services Agreement, our Privacy Policy, Cookie Policy, Community Guidelines, and any supplemental terms or agreements applicable to specific features or services.
  • “Termination”: The cancellation, suspension, or expiration of a user’s account or access to the Platform, whether initiated by the user or Kenaana, in accordance with this Agreement.
  • “Force Majeure”: Any event beyond Kenaana’s reasonable control that prevents or delays its obligations, such as natural disasters, war, pandemics, strikes, government actions, or internet outages. Kenaana is not liable for related disruptions, and no refunds or credits will be issued unless required by law.

Contract

You agree that by clicking “Join Now”, “Join Kenaana”, “Sign Up” or similar, registering, accessing, or using any of the features or content on our platform (the “Services”), you are entering into a legally binding contract with Kenaana (even if you are using the Services on behalf of a company).

By using our website or services, you also confirm that you have read, understood, and agreed to our Privacy Policy and Cookie Policy, which explain how we collect, use, and manage your data.

If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Join Now” (or similar), and do not access or otherwise use any of our Services. You may terminate this contract at any time by closing your account and discontinuing use of the Services.

The Services

This Agreement applies to Kenaana and to any other services that indicate they are offered under this Agreement (the “Services”). This includes, but is not limited to, Kenaana Ads, Expo365, Kenaana Community, Legal Consultation Services, and the Jobs Platform, along with any other features or services made available through the Kenaana Platform.

Registered users of our Services are referred to as “Members”, and unregistered users as “Visitors”. This Agreement applies to both Members and Visitors.

As a Visitor or Member of our Services, the collection, use, and sharing of your personal data is subject to our Privacy Policy (which includes our Cookie Policy and other documents referenced therein), as may be updated from time to time.

Each service offered through Kenaana (e.g., Jobs, Community, Expo365, Legal Consulting) may be subject to additional terms, guidelines, or policies, which will be clearly communicated at the point of access or use. Users are responsible for reviewing and complying with these service-specific terms.

Members and Visitors

When you register and join the Kenaana Service, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”

Change

We may modify this Contract, our Privacy Policy and our Cookies Policies from time to time. If we make material changes to it, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive.

If you object to any changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.

Obligations

Service Eligibility

The Services are not for use by anyone under the age of 18.

To use the Services, you agree that:

  • You must be the “Minimum Age” or older.
  • You will only have one Kenaana account, which must be in your real name. and if the account representing a ” commercial, non-profit or government ” intity, the account must be as per the registered name in the government entities in your countries.
  • you are not already restricted by Kenaana from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 18.
  • “Minimum Age” means 18 years old. However, if law requires that you must be older in order for Kenaana to lawfully provide the Services to you without parental consent (including using of your personal data) then the Minimum Age is such older age.

Your Account

Members are account holders. You agree to:

  • Try to choose a strong and secure password.
  • Keep your password secure and confidential.
  • follow the law and our list of Dos and Don’ts and Professional Community Policies. You are responsible for anything that happens through your account unless you close it or report misuse.

Notices and Messages

You agree that we will provide notices and messages to you in the following ways:

  • within the Service, or
  • sent to the contact information you provided us (e.g., email, mobile number, physical address).
  • You agree to keep your contact information up to date.

Sharing.

Our Services allow messaging and sharing of information in many ways, such as your profile, links to news articles, KenaanaStore product & services & others. Information and content that you share or post may be seen by other Members, Visitors or others (including off of the Services).

Where we have made settings available, we will honor the choices you make about who can see content or information (e.g., message content to your addressees, or opting not to notify others of your Kenaana profile update).

For KenaanaStore buying services activities, we default to not notifying your followers or the public. We are not obligated to publish any information or content on our Service and can remove it in our sole discretion, with or without notice.

Paid Services, Billing & Refunds

Service Activation & Subscription Plans

Access to certain features and services on the Kenaana platform is conditional upon payment of the applicable subscription or activation fees. These paid services currently include, but are not limited to:

  • Annual subscriptions for Expo365 Listings.
  • Subscription-based Job Posting services for employers.
  • Product and Service Promotion within the Kenaana platform, including Expo365, the Job Board, community areas, or any other designated promotional sections.

Activation of a paid service will occur either upon successful processing of the applicable payment or on the scheduled commencement date selected by the user during the ordering process, subject to the conditions outlined below.

Kenaana reserves the right to require prior approval for specific services, including but not limited to advertising and promotional content. Users are advised to consult with the Kenaana support team before placing an order for such services. Additionally, certain services may be restricted to verified users only. In such cases, users will not be permitted to complete the transaction until the verification process is successfully completed.

Where approval or user verification is required, activation of the purchased service may take up to two (2) business days from the date of request, subject to the timely submission of any required information or documentation.

All relevant subscription details, including duration, renewal conditions, and applicable fees, will be clearly communicated to the user prior to order confirmation.

Ordering Process & Affiliate Access

Only registered account holders may place orders for paid services through the Kenaana platform. Access to certain functionalities, including service activation, billing, and content submission, is restricted to authenticated users.

Corporate entities, employers, or other organizational users may authorize additional individuals (“Affiliates”) to access specific account features, such as managing job postings, listing products, or initiating service requests. The primary account holder remains solely responsible for all activities conducted by such authorized affiliates and for ensuring their compliance with these Terms of Use.

Kenaana reserves the right to request documentation or other forms of verification prior to the activation of select services—particularly those involving regulated categories such as recruitment, business listings, or professional consultations. Failure to provide the requested information may delay or prevent service activation.

Payment Terms & Billing

All fees for services offered on the Kenaana platform must be paid in full using one of the approved payment methods made available at the time of checkout, which may include credit/debit cards, online payment gateways such as Stripe, or local bank transfers, as applicable.

Service fees and subscription pricing will be clearly disclosed prior to finalizing any transaction. By confirming a purchase, you acknowledge and accept the stated charges.

Where applicable, subscription-based services are billed on a monthly or annual basis, according to the billing frequency selected by the user during the order process. Unless explicitly stated otherwise, all subscriptions are subject to automatic renewal at the end of each billing cycle. You may disable auto-renewal at any time through your account settings prior to the renewal date to avoid future charges.

By initiating a subscription or paid service, you expressly authorize Kenaana to charge the designated payment method for the corresponding amount at the start of each billing cycle, unless the subscription is canceled in accordance with these Terms.

Taxes

Unless expressly stated otherwise, all prices displayed on the Kenaana platform are exclusive of any applicable value-added tax (VAT), sales tax, or other governmental levies. Any such taxes required by law will be calculated and added to the total amount due at checkout.

You are solely responsible for the payment of all applicable taxes, duties, or charges arising from your purchase or use of services on the platform, unless Kenaana explicitly agrees to collect and remit such taxes on your behalf as required by applicable law.

Non-Refundable Fees

Unless expressly stated otherwise in a written agreement or service-specific policy, all payments made to Kenaana are final and non-refundable. This includes, without limitation:

  • Unused portions of subscription periods
  • Voluntary early termination of services
  • Downgrades or changes to lower-tier plans

Refunds will only be issued under the following limited circumstances:

  • Verified billing errors caused by Kenaana
  • Duplicate payments made in error
  • Other refund obligations as required by applicable law

All refund requests must be submitted in writing and will be subject to verification and approval by Kenaana. Approved refunds, if any, will be processed using the original payment method.

Refund Requests

All refund requests must be submitted in writing through our official contact form at contact us form, or (where applicable) through the user dashboard, within 30 calendar days from the date of the issue or the transaction in question. Requests must include relevant details such as the account holder’s name, transaction ID, date of payment, reason for the request, and any supporting documentation.

Once received, refund requests will be reviewed within 7 business days. Approval of a refund is subject to Kenaana’s sole discretion and may depend on the nature of the service, the circumstances of the request, and whether the service was used in part or in full.

Certain fees, including but not limited to administrative or processing fees, may be non-refundable, unless otherwise stated. Refunds, if approved, will be issued using the original method of payment unless agreed otherwise.

Kenaana Health reserves the right to deny refund requests that do not comply with these conditions or where misuse, abuse, or violation of our Terms is suspected.

Subscription Terms, Termination & Data Retention

Subscription Terms

Your subscription to Kenaana services shall commence on the effective activation date and shall remain in force for the duration of the billing cycle selected at the time of purchase (e.g., monthly or annual terms).

Unless canceled by the user in accordance with these Terms, all subscriptions will automatically renew at the end of each billing cycle under the same terms and conditions. You are solely responsible for managing your subscription settings and initiating cancellation, if desired, prior to the renewal date to avoid future charges.

Non-Cancelable Periods

Certain premium plans and bundled service packages offered by Kenaana may be subject to minimum commitment periods and cannot be canceled for a refund once payment has been processed. Examples include, but are not limited to:

  • Annual subscriptions to Expo365
  • Special offers or discounted service bundles

In the event that you cancel a qualifying plan before the end of its term, the associated services will remain active and accessible until the end of the original subscription period. However, no portion of the fees paid will be refunded, and no further billing will occur beyond the initial term.

Where early termination is permitted on an exceptional basis, termination fees may apply, and any such fees will be clearly disclosed at the time of purchase.

Promotional pricing or discounts tied to a fixed term are contingent upon full-term fulfillment. Early termination may result in loss of promotional benefits or recalculation of charges at standard rates.

Termination by the User

You may cancel your subscription or close your Kenaana account at any time by using the account management tools provided in your user dashboard or by submitting a written request to our customer support team.

Please note the following conditions:

  • No Refunds: Cancellation of a subscription does not entitle you to any refund or credit for unused time or partially completed billing cycles, unless expressly stated in a separate agreement or required by applicable law.
  • Service Access: Upon cancellation, your access to paid services and associated features will remain active until the end of the current billing period, unless you request immediate termination. After this period, all paid features will be deactivated.
  • Data Deletion: Any data or content stored under your account may be permanently deleted following account termination, subject to our data retention policies and applicable legal requirements.

Termination by Kenaana Health

Kenaana reserves the right to suspend, restrict, or permanently terminate your access to any portion of the platform, including paid services, at its sole discretion and without prior notice, under any of the following circumstances:

  • Breach of Terms: You are found to be in violation of these Terms of Use, service-specific policies, or any applicable usage rules.
  • Payment Failures: Repeated failure to remit payment for subscribed or purchased services.
  • Security or Integrity Risks: Your conduct, content, or technical activity is determined to pose a threat to the integrity, security, reputation, or operation of the Kenaana platform or its users.

In such cases, no refund or credit will be issued for any remaining portion of a subscription term unless otherwise required by law.

Rights and Limits

Your License to Kenaana

As between you and Kenaana, you own the content and information that you submit or post to the Services, and you are only granting Kenaana the following non-exclusive license:

A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services and the services of others, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:

  • You can end this license for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.
  • We will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content). However, we have the right, without payment to you or others, to serve ads near your content and information, and your social actions may be visible and included with ads.
  • We will get your consent if we want to give others the right to publish your content beyond the Services. However, if you choose to share your post as “public”, we will enable a feature that allows other Members to embed and share that public post onto third-party services, and we enable search engines to make that public content findable though their services.
  • While we may edit and make format changes to your content (such as translating it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.
  • Because you own your content and information and we only have non-exclusive rights to it, you may choose to make it available to others.

You and Kenaana agree that we may access, store, process and use any information and personal data that you provide in accordance with the terms of the Privacy Policy and your choices (including settings).

You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). You also agree that your profile information will be truthful. Kenaana may be required by law to remove certain information or content in certain countries.

Service Availability

We may change or discontinue any of our Services. We don’t promise to store or keep showing any information and content that you’ve posted.

Kenaana is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide.

Other Content and Sites.

By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Kenaana generally does not review content provided by our Members or others. You agree that we are not responsible for others’ (including other Members’) content or information. We cannot always prevent this misuse of our Services, and you agree that we are not responsible for any such misuse.

You also acknowledge the risk that you or your organization may be mistakenly associated with content about others when we let connections and followers know you or your organization were mentioned in the news. Members have choices about this feature.

Third-Party Services and Links

The Kenaana Platform may contain links to third-party websites, applications, or services, or may integrate third-party tools and functionalities (including, but not limited to, payment processors, analytics tools, or communication plugins). These third-party services are not owned or controlled by Kenaana Health.

Kenaana Health does not endorse, monitor, warrant, or assume any responsibility for the accuracy, reliability, availability, legality, or content of such third-party services. Your access to and use of these services is entirely at your own risk and subject to the terms and privacy policies of the respective third parties.

You acknowledge and agree that Kenaana Health shall not be liable for any loss or damage incurred as a result of your dealings with third-party websites or services, or from any reliance placed on third-party content made available through the Platform.

It is your responsibility to review and accept the applicable terms and policies before engaging with any third-party service.

Limits.

Kenaana reserves the right to limit your use of the Services, including the number of your connections and your ability to contact other Members. Kenaana reserves the right to restrict, suspend, or terminate your account if Kenaana believes that you may be in breach of this Contract or law or are misusing the Services.

Intellectual Property Rights.

Kenaana reserves all of its intellectual property rights in the Services. Using the Services does not give you any ownership in our Services or the content or information made available through our Services.

Trademarks and logos used in connection with the Services are the trademarks of their respective owners. Kenaana and “K” logos and other Kenaana trademarks, service marks, graphics, and logos used for our Services are trademarks or registered trademarks of Kenaana.

Intellectual Property Infringement Claims

If you believe that your intellectual property rights have been violated on the Kenaana Platform, please send a written notice to the contact us form, including:

  • A clear and detailed description of the work or intellectual property you claim has been infringed;

  • The exact location (such as the URL or page) on the Kenaana Platform where the infringement occurs;

  • Your full contact information, including name, address, phone number, and email;

  • Any supporting documents or evidence to help us understand and verify your claim;

  • A statement that the information you provide is accurate and that you are the owner or authorized to act on behalf of the owner of the intellectual property.

After receiving your notice, Kenaana Health will promptly investigate and take appropriate action in accordance with applicable laws, which may include removing or disabling access to the infringing content.

Please be aware that submitting false or misleading claims may lead to legal consequences.

Feedback and Suggestions

By submitting any feedback, suggestions, ideas, or other input regarding the Kenaana platform or its services (“Feedback”), you acknowledge and agree that:

  • Such Feedback is provided voluntarily and without any expectation of compensation, recognition, or confidentiality;

  • Kenaana Health may freely use, copy, modify, incorporate, or otherwise exploit the Feedback for any purpose, including but not limited to improving or enhancing the platform and its services;

  • You grant Kenaana Health a perpetual, irrevocable, non-exclusive, worldwide, transferable, sublicensable, and royalty-free license to use, reproduce, display, distribute, and create derivative works from the Feedback in any manner and for any purpose, without restriction or further obligation to you.

You also confirm that your Feedback does not infringe any third-party rights and that you have all necessary rights to grant the above license.

Monitoring and Enforcement

Kenaana Health reserves the right to monitor activity on the platform using a combination of automated systems and manual review processes, including user reports. This monitoring is conducted to ensure compliance with these Terms of Use, promote safety, and maintain the integrity of the platform.

If any behavior or content is found to violate our terms, community guidelines, or applicable laws, we may take corrective actions at our sole discretion. Such actions may include, but are not limited to:

  • Issuing warnings

  • Removing or modifying content

  • Temporarily or permanently suspending user accounts

  • Restricting access to certain features or services

  • Reporting violations to appropriate authorities where required

We strive to act fairly and consistently, but reserve the right to act swiftly in the interest of protecting users and the platform.

Automated Processing

Kenaana Health uses automated processing and data analysis to improve your experience and personalize the platform. This includes leveraging the information you provide, as well as data gathered through your interactions, to offer tailored recommendations for:

  • Relevant connections (e.g., clinics, professionals, companies)

  • Targeted content (e.g., posts, articles, services)

  • Features and tools that may benefit you based on your interests and activity

To enhance the accuracy and relevance of these recommendations, we encourage you to keep your profile and account information complete and up-to-date.

You acknowledge and agree that such automated processing is an integral part of the services we offer and helps improve the overall utility and functionality of the platform.

Prohibited and Restricted Use.

Overview.

To maintain a safe, legal, and professional environment for all users, Kenaana Health prohibits or restricts certain businesses, activities, products, services, and content from being listed, promoted, or used on our platform.

These restrictions apply to all individuals, companies, and organizations using our services—whether they are offering products, delivering services, engaging in community activity, or interacting with other users.

Enforcement and Platform Rights.

Kenaana Health reserves the right to assess, restrict, remove, or take legal action against any content, service, business, or user that violates our prohibited or restricted categories.

This includes but is not limited to: content removal, service suspension, account termination, and legal enforcement. Such action may be taken at our sole discretion, with or without prior notice, to ensure the safety, legality, and integrity of our platform and community.

Prohibited and Restricted Categories.

Below are the five main categories under which restrictions apply:

Prohibited or Restricted Businesses

Kenaana Health strictly prohibits the use of its platform for any business, operation, or commercial activity that is illegal, unethical, or fundamentally misaligned with the values and objectives of our healthcare ecosystem. This includes, but is not limited to, the following categories:

  • Unlicensed or Fraudulent Healthcare Providers: Entities or individuals offering healthcare-related services or medical advice without the required licenses, accreditation, or regulatory approvals as mandated by the relevant authorities in their jurisdiction.
  • Unregulated or Uncertified Online Pharmacies: Businesses involved in the sale or distribution of pharmaceuticals, drugs, or medical treatments that do not possess valid certifications, permits, or that operate outside legal and professional frameworks established by recognized health and drug control authorities.
  • Gambling, Betting, or Wagering Services: Platforms or entities engaged in any form of gambling, lottery, betting (including sports betting), or similar high-risk games of chance that are primarily intended for monetary gain and fall outside the healthcare scope.
  • Cryptocurrency Exchanges and High-Risk Financial Products: Businesses involved in cryptocurrency trading, initial coin offerings (ICOs), high-yield investment programs (HYIPs), or any financial activity deemed speculative, unregulated, or considered high-risk by global financial institutions.
  • Adult Entertainment, Pornographic Content, or Escort Services: Any business or content that promotes, sells, or facilitates access to sexually explicit material, adult entertainment services, escort agencies, or similar services, regardless of local legality.

 

 

Prohibited or Restricted Activities

To uphold the integrity, safety, and lawful use of the Kenaana Health platform, all users—whether individuals or organizations—are strictly prohibited from engaging in activities that violate applicable laws, compromise the platform’s security, or negatively impact the user community. The following activities are explicitly prohibited or restricted:

  • Misrepresentation of Credentials or Medical Claims: Submitting false, exaggerated, or misleading information about professional qualifications, licenses, certifications, or medical treatments. This includes presenting unproven therapies as effective or making unsupported health claims that could endanger users.
  • Fraudulent, Deceptive, or Misleading Conduct: Any action intended to defraud, scam, or mislead users for financial, reputational, or other personal gain. This includes but is not limited to fake offers, impersonation of other users, and unauthorized representations of businesses or services.
  • Spamming, Data Scraping, or Exploitation of User Information: Sending unsolicited messages, bulk communications, or advertisements; collecting user data through automated tools; or using any data obtained through the platform in a way that violates user privacy or Kenaana Health’s terms.
  • Bypassing Platform Security, Verification, or Payment Systems: Attempting to interfere with, circumvent, or manipulate the platform’s authentication, identity verification, or payment processes. This includes falsifying identity documents, using unauthorized payment methods, or exploiting system vulnerabilities.
  • Promoting Hate, Violence, or Discrimination: Creating, sharing, or promoting content or activities that incite hatred, support violence, or discriminate against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, nationality, disability, or other protected characteristics.

 

 

Prohibited or Restricted Products

Kenaana Health is committed to maintaining a safe, ethical, and legally compliant environment for all users. As such, the sale, promotion, or distribution of the following products is strictly prohibited or restricted on our platform:

  • Prescription Medications Not Authorized by Competent Authorities: Any prescription drugs that are not approved by the relevant health regulatory bodies in the country of sale or use, including unauthorized imports or parallel trade in pharmaceuticals without proper licensing or verification.
  • Unregulated, Unsafe, or Banned Medical Supplements and Products: Products such as herbal supplements, vitamins, or medical aids that lack regulatory approval, contain undeclared or harmful substances, or are subject to local or international bans due to safety concerns.
  • Counterfeit, Tampered, or Fraudulent Medical Devices: This includes imitation or non-original devices, altered products, or those sold under misleading branding, packaging, or claims. All medical devices must be genuine, properly certified, and meet applicable regulatory and safety standards.
  • Weapons, Firearms, Ammunition, and Related Accessories: The listing, marketing, or exchange of any form of weaponry—including guns, knives, explosives, and components or accessories—is strictly forbidden, even for licensed users.
  • Tobacco, E-Cigarettes, and Related Products: The promotion or sale of tobacco products, vaping devices, nicotine-based products, and similar items is not permitted, regardless of local laws, due to health risks and incompatibility with Kenaana Health’s healthcare mission.

 

 

Prohibited or Restricted Services

To ensure compliance with legal standards and uphold the integrity of healthcare services within our platform, Kenaana Health strictly prohibits the offering, promotion, or facilitation of the following services:

  • Unlicensed Medical Consultations or Procedures: Any healthcare-related service provided without the necessary credentials, licenses, or certifications required by applicable regulatory authorities, including but not limited to online diagnosis, prescription issuance, or therapeutic interventions.
  • Issuance or Sale of Fake Certifications or Academic Credentials: This includes diploma mills, fabricated training certificates, or any misrepresentation of educational or professional qualifications. Any service facilitating credential fraud is strictly forbidden.
  • Illicit or High-Risk Financial Services: This includes payday loan services, pyramid or Ponzi schemes, investment scams, and unregistered cryptocurrency operations that may exploit users or violate local financial laws.
  • Unauthorized Sale, Sharing, or Exploitation of Personal Health Data: Services involving the trade, use, or distribution of patients’ personal health information (PHI), whether anonymized or identifiable, without proper consent and in violation of applicable privacy laws (e.g., GDPR, HIPAA).
  • Deceptive or Misleading Health-Related Services: Any service that exaggerates health outcomes, promotes unproven treatments, or engages in manipulation of vulnerable groups for commercial or ideological purposes.

 

 

Prohibited or Restricted Content

To maintain a safe, ethical, and trustworthy environment for all users, Kenaana Health strictly prohibits the publication, promotion, or dissemination of content that may cause harm, mislead the public, or breach legal or professional standards. This includes, but is not limited to:

  • Health Misinformation and Unverified Claims: Content that promotes unproven medical treatments, misrepresents scientific facts, or spreads false or misleading health-related information likely to endanger public safety or interfere with evidence-based care.
  • Pornographic, Sexually Explicit, or Inappropriate Material: Any text, image, video, or link containing nudity, sexually suggestive content, or explicit material that violates moral, cultural, or legal norms applicable in the region.
  • Harassment, Defamation, or Threatening Language: Content that targets individuals or groups with insults, threats, stalking behavior, hate speech, slander, or any form of cyberbullying or character defamation.
  • Politically Sensitive or Extremist Ideologies: Promotion of political propaganda, incitement to violence, radicalization, or extremist views that could destabilize communities or incite public disorder. Kenaana Health is a neutral platform not intended for political advocacy.
  • Promotion of Illegal Drugs or Controlled Substances: Any content that encourages the use, sale, or distribution of narcotics, recreational drugs, or substances classified as illegal under applicable laws.

 

Violations of this category are subject to our enforcement rights as described above.

TO THE EXTENT ALLOWED UNDER LAW, KENAANA (AND THOSE THAT KENAANA WORKS WITH TO PROVIDE THE SERVICES):

  • DISCLAIM ALL IMPLIED WARRANTIES AND REPRESENTATIONS (E.G. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NONINFRINGEMENT).
  • DO NOT GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS.
  • PROVIDE THE SERVICE (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SOME LAWS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

Exclusion of Liability

TO THE EXTENT PERMITTED UNDER LAW (AND UNLESS KENAANA HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT), KENAANA (AND THOSE THAT KENAANA WORKS WITH TO PROVIDE THE SERVICES) SHALL NOT BE LIABLE TO YOU OR OTHERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, RELATED TO THE SERVICES (E.G. OFFENSIVE OR DEFAMATORY STATEMENTS, DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT).

THIS LIMITATION OF LIABILITY IS PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND KENAANA AND SHALL APPLY TO ALL CLAIMS OF LIABILITY (E.G. WARRANTY, TORT, NEGLIGENCE, CONTRACT, LAW) AND EVEN IF KENAANA HAS BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.

SOME LAWS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.

Legal Consulting:

Users are responsible for their content and interactions across community forums, groups, and member profiles. Kenaana moderates content but is not liable for user-generated material.

Force Majeure

Kenaana Health shall not be held liable for any delay, interruption, failure, or suspension in the performance of its obligations or the delivery of Services that results, directly or indirectly, from events beyond its reasonable control (“Force Majeure Events”). These events include, but are not limited to:

  • Natural disasters (such as earthquakes, floods, fires, or storms)

  • Acts of war, terrorism, civil unrest, or sabotage

  • Epidemics, pandemics, or public health emergencies

  • Power outages or failure of telecommunications or internet infrastructure

  • Government actions, embargoes, or legal restrictions

  • Labor strikes, lockouts, or industrial disturbances

  • Acts of third parties or other unforeseen events beyond Kenaana Health’s reasonable control

In the event of a Force Majeure, Kenaana Health will make reasonable efforts to resume the affected services as soon as practicable. However, you acknowledge and agree that:

  • Kenaana Health shall not be liable for any damages, losses, or inconvenience resulting from such events; and

  • No refunds, service credits, or compensation will be provided for disruptions or non-performance caused by Force Majeure Events, except where required by applicable law.

This clause shall not excuse or delay your payment obligations for services already rendered unless otherwise explicitly agreed in writing.

Termination.

Both you and Kenaana may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination:

  • Our rights to use and disclose your feedback.
  • Members and/or Visitors’ rights to further re-share content and information you shared through the Service to the extent copied or re-shared prior to termination.
  • Any amounts owed by either party prior to termination remain owed after termination.

Governing Law and Dispute Resolution.

While Kenaana Health operates under the laws of the Hashemite Kingdom of Jordan, you are solely responsible for ensuring that your use of the Services complies with the applicable laws and regulations of your local jurisdiction. Kenaana Health may, at its discretion, restrict or modify access to certain services to comply with local legal requirements.

You agree that any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Services shall be resolved on an individual basis, and you expressly waive any right to participate in class actions, collective proceedings, or representative actions.

Before initiating litigation, both you and Kenaana Health agree to make a good faith effort to resolve any dispute through informal negotiations and, if necessary, through mediation or arbitration in accordance with the rules of a mutually agreed-upon arbitration center. If no agreement is reached, the dispute shall be submitted to binding arbitration under the rules of the Amman Chamber of Commerce Arbitration Centre or a similar recognized arbitration body in Jordan.

This Agreement and any disputes arising from or related to it shall be governed exclusively by the laws of the Hashemite Kingdom of Jordan, without regard to conflict of law principles.

You and Kenaana Health agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively before the competent courts of the Hashemite Kingdom of Jordan, and both parties hereby submit to the personal and exclusive jurisdiction of such courts.

General Terms.

If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract.

To the extent allowed by law, the English language version of this Contract is binding and other translations are for convenience only. This Contract (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

If we don’t act to enforce a breach of this Contract, that does not mean that Kenaana has waived its right to enforce this Contract. You may not assign or transfer this Contract (or your membership or use of Services) to anyone without our consent. However, you agree that Kenaana may assign this Contract to its affiliates or a party that buys it without your consent. There are no third-party beneficiaries to this Contract.

You agree that the only way to provide us legal notice is at the addresses provided in Section 12.

Kenaana “Dos and Don’ts”

Dos.

  • Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements.
  • Provide accurate information to us and keep it updated.
  • Use your real name and real identity on your profile and Use the Services in a professional manner.

Don’ts.

  • Create a false identity on Kenaana, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another’s account.
  • Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services.
  • Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as caps on keyword searches or profile views).
  • Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Kenaana.
  • Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer)).
  • Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights.
  • Post anything that contains software viruses, worms, or any other harmful code.
  • Imply or state that you are affiliated with or endorsed by Kenaana without our express consent.
  • Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same, without Kenaana’s consent.
  • Deep-link to our Services for any purpose other than to promote your profile or a Group on our Services, without Kenaana’s consent.
  • Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages.
  • Monitor the Services’ availability, performance or functionality for any competitive purpose.
  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services.
  • Overlay or otherwise modify the Services or their appearance (such as by inserting elements into the Services or removing, covering, or obscuring an advertisement included on the Services).
  • Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or
  • Violate any additional terms concerning a specific Service that are provided when you sign up for or start using such Service.
